Welcome to Raw Creative Agency ("RCA"). By accessing our website, engaging our services, or downloading our digital assets, you agree to be bound by these Terms of Use ("Terms"). Please read them carefully.
If you do not agree with any part of these terms, you must discontinue use of our services immediately. These terms constitute a legally binding agreement between you ("Client" or "User") and Raw Creative Agency ("Provider").
02. Scope of Services
RCA provides digital services including but not limited to branding, web development, software engineering, and digital marketing ("Services").
- Deliverables: Specific deliverables will be outlined in a separate Statement of Work (SOW) or Project Proposal.
- Modifications: Any changes to the scope must be agreed upon in writing and may incur additional costs.
- Timeline: Timelines provided are estimates. RCA is not liable for delays caused by third parties or client inaction.
03. Payment & Fees
We operate on a transparent pricing model. By hiring RCA, you agree to the following payment structure unless otherwise specified in your contract:
A 50% non-refundable deposit is required to secure resources and begin work. The remaining 50% is due upon project completion or before final file handover.
- Retainers: Monthly retainers are billed in advance on the 1st of every month.
- Late Fees: Invoices overdue by more than 15 days may incur a 5% late fee per week.
- Currency: We accept payments in INR, USD, GBP, and AUD via bank transfer or Stripe.
04. Intellectual Property
We believe in fair ownership of creative work.
A. Client Ownership
Upon full payment of all fees, the Client is granted exclusive, perpetual, worldwide rights to the final visual designs and frontend code created specifically for the project.
B. Agency Rights
RCA retains ownership of:
- Preliminary concepts and drafts that were not selected.
- Proprietary tools, background technology, and reusable code libraries used to build the project.
- The right to display the work in our portfolio and marketing materials.
05. Cancellation & Termination
Either party may terminate a project or retainer agreement with written notice.
- Client Termination: If the Client terminates a project mid-stream, the initial deposit is forfeited. The Client will be billed for any hours worked beyond the deposit amount.
- Agency Termination: RCA reserves the right to terminate services for non-payment, breach of contract, or abusive conduct.
- Retainers: Monthly growth retainers require a 30-day written notice for cancellation after the initial 3-month commitment period.
06. Limitation of Liability
To the fullest extent permitted by law, RCA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid by you to RCA in the six (6) months prior to the event giving rise to the claim.
